Terms and Conditions

Service Overview

This Service is subject to and governed by Customer's separate signed Primary Service Agreement (PSA) or Customer Service Agreement (CSA) as applicable, with IT Outlet (“IT Outlet”). This Agreement is entered into between you and IT Outlet for the provision of IT Outlet's Managed Firewall Services. For the purposes of this agreement "you" and "Customer" are used interchangeably and mean the entity to which IT Outlet is providing service. 

A. SERVICE DESCRIPTION 

Managed Firewalls protect your network from unauthorized access and malicious attacks. Firewalls are the critical gateway into a network, and firewalls managed by IT Outlet come with the highest degree of attention and expertise to protect critical assets and provide protection at the perimeter. 

 

IT Outlet-Managed Firewalls are a fully managed firewall solution, including policy and configuration. The service is tailored to meet the customer's changing residential requirements. 

 

Home Data Defense (“Provider”) supplies a subscription-based firewall device and an internet filtering service (“Service”) for residential use. By subscribing, you (“Customer”) agree to these Terms and Conditions. Each subscription is 1 year or multiple years. 

SERVICE LIMITATIONS

  • Service is intended for residential use only. (Business managed services available upon request). 

  • Provider is not liable for any losses, data loss, or consequential damages. 

  • Service availability may be affected by factors outside the Provider’s control (e.g., internet outages). 

B. Subscription & Payment

  • Service is billed monthly or annually, as selected by the Customer. 

  • Payment is due in advance of each service period. 

  • Failure to pay may result in suspension or termination of Service. 

  • Provider reserves the right to adjust pricing with 30 days’ written notice. 

C. Availability 

  • IT Outlet will use best efforts to have the service available 24 hours, 7 days a week. 

D. Charges 

  • The Managed Firewall Service rates can be found on the IT Outlet website: ITO Home Data Defense 

E. Responsibilities 

IT Outlet Responsibilities 

  • Service will be available 24/7. 

  • Management and configuration access is only granted to authorized IT Outlet personnel. 

  • Tailor each site for customer-specific access lists and firewall rules. 

  • IT Outlet will secure the platform against known security risks. Any observed security breaches or suspicious activity will be reported to the Customer. 

Customer Responsibilities 

  • Customer agrees to comply with IT Security Policy and Standards at all times. 

  • Customer agrees to use the Service only for authorized servers and networks. 

  • Customer will designate at least one primary and one backup technical resource authorized to execute firewall-related responsibilities. 

F. Special Terms 

Device Setup IT Outlet shall create Virtual Segmentation / Virtual Domain (VDOM) based on management or functional requirements. 

Firewall Management IT Outlet shall configure each firewall with a base rule set with additional rules as specified by the customer within reason and inside governing laws. 

Security Customer accepts sole accountability for all use of the Service by Customer's systems and users. IT Outlet reserves the right to suspend service without prior notice upon detection of unauthorized access or malicious traffic. 

Additional Legal Terms 

Indemnification Customer agrees to indemnify, defend, and hold harmless IT Outlet, its affiliates, officers, and employees from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with Customer’s use of the Service, violation of these Terms, or infringement of any third-party rights. 

Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IT OUTLET SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, PROFITS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 

Data Privacy Compliance IT Outlet will comply with all applicable data protection laws, including but not limited to GDPR, CCPA, and relevant state breach notification laws. Customer agrees to implement reasonable measures to protect personal data shared under this Agreement. 

Export Control Customer agrees to comply with all applicable U.S. and international export control laws and regulations. Customer shall not export, re-export, or transfer any technology or software in violation of such laws. 

Refund and Renewal Policy Subscriptions will automatically renew unless Customer provides written notice of cancellation at least 30 days prior to renewal. Refunds for early termination will be prorated based on unused service periods. 

Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of South Dakota, without regard to its conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in South Dakota.
